U.S. Person - meaning, but not limited to, the following persons (natural or legal):

• a U.S. citizen even if they reside outside the U.S. or also hold another citizenship;
• U.S. passport holder;
• a US-born person unless they renounced their citizenship;
• a permanent resident of the United States (e.g. Green Card holder);
• a US entity (incorporated/registered/resident in the US);

US Indicia - meaning, but not limited to, the following indicators that an individual or legal entity may be considered to fall into this category:

• US citizenship or US permanent residence (e.g., Green Card holder);
• US place of birth;
• U.S. address ( home, residence, correspondence, registered office);
• A US telephone number;
• A power of attorney or right of signature granted to a person with a US address.
